You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at shop@izziobakery.com of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security. You may not transfer, sell, assign, or license your account to any other person.

We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration. Dimensions, capacity, weight, grain, color and finish of our bread boxes and other products are approximate, and natural materials will vary from unit to unit. Our products are intended for ordinary household food storage use in accordance with the care and use instructions we provide with them.

We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis. Some products may be manufactured, packaged, fulfilled or shipped by third-party suppliers on our behalf.

SECTION 3 -– ORDERS

When you place an order, you are making an offer to purchase. izzio artisan bakery reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until izzio artisan bakery confirms acceptance. We must receive and process your payment before your order is accepted per our Cancellation Policy. Please review your order carefully before submitting, as izzio artisan bakery may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export. We may cancel, reduce or refuse any order that we reasonably believe is placed for resale, exceeds posted quantity limits, is fraudulent or unauthorized, or is placed in violation of these Terms, and we may require additional verification or information before accepting an order.

SECTION 4 - PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes,but include shipping charges.

Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing, and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

You agree to provide current, complete, and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the credit card information you provide is valid, true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) you authorize us and our payment processors to charge that payment method for the full amount of your order, including the product price, and all applicable taxes, and you agree that no additional notice or consent is required, (iv) charges incurred by you will be honored by your credit card company, and (v) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

Your agreement with the issuer or provider of your credit card governs your use of that card, and you must refer to that agreement, and not these Terms, to determine your rights and liabilities with respect to it. Unless we expressly state otherwise, all prices are stated and all amounts are payable in U.S. dollars, and your issuer may apply currency conversion or foreign transaction fees for which we are not responsible. If we make accelerated checkout or digital wallet options available in our store, such as Shop Pay, PayPal, Apple Pay, Google Pay, Meta Pay or Amazon Pay, those options are provided by third parties and your use of any of them is also subject to that third party’s own terms and privacy policy, which you should review before using it. All orders are completed through Shopify Checkout. Your payment card and related billing information is collected and processed by our payment processors, including Shopify Payments, in accordance with their own terms and privacy policies and applicable Payment Card Industry Data Security Standards, and we do not store complete payment card numbers.

We or our payment processor may place an authorization hold on your credit card to verify it or to confirm available funds. An authorization hold is not a charge, although it may reduce your available balance or credit until your issuer releases it. If a payment is declined, reversed, or otherwise cannot be completed, your order will not be accepted, and we may cancel the order or ask you for an alternative payment method.

Posted prices are exclusive of sales, use and similar transaction taxes, which will be calculated at checkout based on the shipping destination and shown in your order confirmation. You are responsible for all such taxes, and for any customs, duties or import charges applicable to orders shipped outside the United States, other than taxes based on our net income.

Please review your order confirmation and your card or account statement promptly. If you believe an amount has been charged in error, contact us at shop@izziobakery.com as soon as reasonably possible, and in any event within sixty (60) days after the charge appears on your statement, so that we can investigate and, if appropriate, issue a correction or refund. Nothing in these Terms limits any right you may have under applicable law, or under your card network’s rules, to dispute a charge with your issuer or credit card provider.

If you initiate a chargeback or payment reversal for an order that we fulfilled in accordance with these Terms and our Refund Policy, we may suspend or terminate your account, decline future orders, and, to the extent permitted by applicable law, recover the amounts owed together with related fees and reasonable costs of collection. We may also cancel orders, decline or limit payment methods, and require additional verification where we reasonably suspect fraud or unauthorized use of a payment method.

SECTION 5 - SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, incorrect or incomplete address information you provide, or other events outside our reasonable control. Once we transfer products to the carrier, title and risk of loss pass to you. Please see our Shipping Policy for more information. If your order arrives damaged, or does not arrive, please contact us at shop@izziobakery.com within thirty (30) days after the estimated delivery date and we will work with you and the carrier to arrange a replacement, refund or carrier claim in accordance with our Refund Policy.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by izzio artisan bakery, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.

You may use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of izzio artisan bakery, Shopify or any third party. These tools may include applications and services made available through the Shopify App Store or otherwise integrated with our store by third-party providers, and information about you and your orders may be shared with a provider as necessary for its application to function. The availability of any such tool does not constitute an endorsement by us or by Shopify, Shopify will have no liability to you arising from or relating to any third-party tool or provider or the disabling of any such tool, and Shopify is not obligated to intervene in any dispute between you and a third-party provider.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

izzio artisan bakery is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with izzio artisan bakery. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and izzio artisan bakery, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with izzio artisan bakery.

izzio artisan bakery is the seller and merchant of record for all sales made through the Services, and Shopify is not the seller or merchant of record. izzio artisan bakery is solely responsible for all aspects of the transaction between you and izzio artisan bakery, including authorizing charges to your payment method, determining and collecting taxes, order fulfillment, returns and refunds, customer service, and required legal disclosures. Shopify is not obligated to intervene in any dispute between you and izzio artisan bakery. Shopify may modify, suspend or discontinue the platform on which our store operates, and may remove content from or take our store offline, at any time, and neither we nor Shopify will be liable to you for any such modification, suspension, discontinuation or removal. We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. Termination will not affect any order that we have already accepted, which will continue to be governed by these Terms, or your rights under our Refund Policy with respect to products already purchased. The following sections will continue to apply following any termination: Orders, Prices and Billing (including the payment, tax, billing dispute and chargeback provisions), Shipping and Delivery, Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL izzio artisan bakery, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCT PURCHASED THROUGH THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (U.S. $100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR FOR FRAUD OR FRAUDULENT MISREPRESENTATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

SECTION 18 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless izzio artisan bakery, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced.
